Company valuation

We value companies for the purposes of divorce cases, litigation and for commercial reasons. Typically, a company is valued based on capitalized future maintainable earnings. However, we will review each instruction to determine the appropriate methodology or methodologies. We will explain our methodology and the key assumptions made.

We can provide a full court-compliant report or a high-level report for the purposes of informing the parties.

Minority share valuation

We are often instructed to value minority shareholdings. This can be in respect of a divorce or a shareholder dispute or for commercial reasons including tax planning or reporting.

The valuation of a minority shareholding is not necessarily the pro-rata valuation of the whole company. In our valuation of the minority shareholding we will give a view on the appropriateness of a discount and, if a discount is required, we will give a view on the level of discount.

Partnership valuation

We have experience in valuing and advising partnerships including traditional partnerships and LLPs. We have valued partnerships in a number of sectors including farming, financial services and professional services.

We can also give advice on the tax implications relating to partnerships which differ from corporate structures.

Sole trader and one-man companies

We can provide full valuation reports or a high level view on the valuation of smaller businesses such as sole traders and one-man companies.

For smaller entities we provide a cost-proportionate approach. 

Employee share valuation

We can provide valuations on employee and director share holdings and also in respect of share options. These valuations may be required in setting up an incentive scheme, in tax reporting or planning and in respect of employees and directors exiting a company.

Divorce business valuations

We can provide company valuation reports in family proceedings as Single Joint Expert. We can also be instructed as Shadow Adviser or Party Expert.

As Shadow Adviser we can give a view on whether a party should seek the appointment of a Single Joint Expert. We can also review the valuation report of a Single Joint Expert and assist in raising relevant questions.

Unfair prejudice

We have experience of valuing shareholdings in respect of unfair prejudice claims. We can act as Single Joint Expert, Party Expert or undertake an Expert Determination.

In valuing the shares we will consider the Articles and any Shareholder Agreement as part of our assessment of any appropriate minority discount.

Employee and director disputes

We value shareholdings and share options in companies in respect of the exit of an individual from the company. We can act as independent expert for all parties or we can act as Party Expert. We can also provide an opinion in Expert Determination.
